1. Introduction
These Terms and Conditions (“Terms”) apply to your use of cleverthinkingtech.com and any services supplied by Clever Thinking Technologies & Clever Thinking Tech (“we”, “us”, “our”). By using our website, purchasing services, or instructing us to begin work, you agree to be bound by these Terms.

By subscribing to or continuing to use our Website Maintenance and Care Plan, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions.
The purpose of this Care Plan is to maintain the security, stability, performance, and operational health of your WordPress website. It is not a design, development, or content update service unless explicitly agreed in writing.
These Terms apply only to a website technical maintenance care plan and do not include other services or support unless expressly agreed in writing under a separate service agreement. If web hosting is purchased alongside the website technical maintenance care plan then additional terms apply relating to web hosting. All terms are advertised on the footer of our website.
Website technical maintenance care plans are also subject to our main Website Terms and Conditions, which apply in addition to these terms. Where applicable, additional third-party or infrastructure provider terms may also apply. Our main Website Terms & Conditions can be found here
2. Scope of the Care Plan
The Website Maintenance and Care Plan includes the following core services:
- Ongoing maintenance of the WordPress core software
- Updates to installed WordPress plugins and themes
- Website performance optimisation and speed improvements
- Server level monitoring and maintenance where applicable
- Website uptime monitoring
- Fault detection and issue resolution related to downtime or errors
- General website health monitoring and preventative maintenance
The Care Plan is intended to reduce risk, improve reliability, and respond promptly when issues arise.
3. WordPress Architecture and Plugin Responsibility
3.1 How WordPress Works
WordPress operates on a modular architecture consisting of:
- The WordPress core
- Themes which control layout and styling
- Plugins which add functionality
Plugins are developed by third parties and interact directly with the WordPress core, database, server environment, and often with each other.
3.2 Plugin Conflicts and Breakages
Due to the nature of this architecture, plugins may occasionally cause issues including, but not limited to:
- Conflicts with other plugins
- Incompatibility with WordPress core updates
- Incompatibility with server software updates such as PHP or MySQL
- Bugs introduced by plugin developers
- Abandoned or poorly maintained plugins
- Security vulnerabilities discovered after installation
While best practices are followed at all times, it is not possible to guarantee that updates will never result in temporary errors or unexpected behaviour.
3.3 Our Role
As part of the Care Plan, Clever Thinking Technologies will:
- Monitor plugin updates and compatibility
- Apply updates using professional judgement
- Investigate and resolve issues caused by plugin conflicts where reasonably possible
- Roll back or replace problematic plugins if required
Where a plugin is fundamentally broken, insecure, or no longer supported by its developer, we may recommend removal or replacement.
4. Performance Optimisation
The Care Plan includes performance and speed optimisation, which may involve:
- Database optimisation
- Caching configuration
- Image optimisation
- Plugin review and optimisation
- Server configuration improvements where permitted by the hosting environment
Performance improvements are applied using industry best practices. However, performance outcomes may vary depending on hosting quality, third-party services, and website complexity.
5. Monitoring and Downtime Protection
5.1 Monitoring
We actively monitor your website for:
- Uptime and availability
- Error states
- Performance degradation
- Security issues where detectable
5.2 Downtime Response
If your website experiences downtime or critical errors, Clever Thinking Technologies will investigate and take reasonable steps to restore functionality as quickly as possible.
5.3 No Guaranteed Uptime
No website, server, or online service can guarantee 100 percent uptime.
Downtime may occur due to:
- Hosting provider failures
- Server outages
- Network or DNS issues
- Software updates
- Cyber attacks
- Third-party service failures
- Force majeure events
The Care Plan does not guarantee uninterrupted service but exists to reduce risk, detect issues early, and resolve them efficiently when they occur.
6. Exclusions
The Website Maintenance and Care Plan does not include:
- Website redesigns or layout changes
- Content updates or content creation
- New page creation
- Feature development
- Custom development work
- Design changes or visual alterations
- Marketing, SEO strategy, or copywriting unless explicitly agreed
- Third-party licence fees or premium plugin costs
Any work outside the scope of the Care Plan will require a separate quotation and written agreement.
7. Client Responsibilities
You agree to:
- Maintain valid hosting and domain services
- Provide accurate login credentials when required
- Inform us promptly of any suspected issues
- Not install, remove, or modify plugins or themes without notifying us
- Not grant third-party developers access without informing us
Unauthorised changes may affect our ability to support the website under the Care Plan.
8. Liability and Limitations
Clever Thinking Technologies shall not be liable for:
- Loss of revenue, profits, or business interruption
- Data loss caused by hosting providers or third parties
- Issues caused by plugins, themes, or software not approved or installed by us
- Delays caused by third-party hosting providers or software developers
Our total liability under this agreement shall not exceed the total Care Plan fees paid by you in the preceding 12 months.
Nothing in these Terms limits liability where it would be unlawful to do so under UK law.
9. Term, Billing, and Cancellation
The Care Plan is billed on a recurring basis as agreed at the time of signup.
You may cancel the Care Plan by providing written notice. Any outstanding fees remain payable up to the cancellation date.
We reserve the right to suspend or terminate the Care Plan if payments are overdue or if these Terms are breached.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Acceptance
By subscribing to the Website Maintenance and Care Plan, you confirm your acceptance of these Terms and Conditions and acknowledge that the Care Plan provides preventative protection, monitoring, and professional support, not an absolute guarantee of uninterrupted service.
12. Client Operational Responsibility
The client is responsible for the ongoing operation of their business and for periodically monitoring and verifying that critical website functionality is working as expected.
This includes, but is not limited to:
- Regularly testing contact forms and enquiry delivery
- Reviewing order logs, transaction records, and payment dashboards
- Monitoring customer communications and notifications
- Implementing independent monitoring measures where enquiries or orders are business-critical
Clever Thinking Technologies shall not be liable for business losses, missed opportunities, or commercial impact arising from failures that were not identified due to a lack of client monitoring.
Where a Website Maintenance and Care Plan is in place, the plan provides preventative maintenance and reasonable issue resolution within scope, but does not constitute a guarantee that all failed orders, missed enquiries, or delivery issues will be detected or prevented.
The client is responsible for periodically testing and monitoring contact forms, enquiry forms, and email delivery to ensure they are functioning correctly.
Clients are advised to implement independent monitoring measures where enquiries are business-critical, such as secondary email notifications, CRM logging, form database storage, or manual testing routines.
Clever Thinking Technologies shall not be liable for business losses or missed opportunities arising from undiscovered form or email failures.
13. No Responsibility for Business Loss or Missed Revenue
Clever Thinking Technologies does not accept responsibility for business losses arising from website use, downtime, errors, or failures.
To the maximum extent permitted by law, we shall not be liable for loss of profits, loss of revenue, loss of anticipated savings, loss of business opportunities, loss of goodwill, or business interruption resulting from the operation or malfunction of any website, eCommerce system, or digital service.
This applies whether losses arise directly or indirectly and whether or not such losses were foreseeable.
14. Care Plan Limitation in Relation to Orders and Forms
Where a Website Maintenance and Care Plan is in place, Clever Thinking Technologies will use reasonable efforts to monitor website health and address reported issues within the scope of the plan.
However, the Care Plan does not guarantee:
- Detection of every failed order or transaction
- Detection of missed or undelivered form submissions
- Continuous monitoring of form delivery or email success
- Real-time auditing of eCommerce transactions
The client remains responsible for overseeing their business operations, including order processing, customer communications, and enquiry handling.
The Care Plan provides preventative maintenance and reasonable issue resolution, not a guarantee against lost orders, missed enquiries, or commercial losses.
15. Notification Requirement and Opportunity to Remedy
You agree to notify Clever Thinking Technologies promptly upon becoming aware of any issue affecting orders, transactions, forms, or email delivery.
We shall not be liable for losses that could reasonably have been avoided had prompt notification been given and a reasonable opportunity to investigate and remedy the issue provided.
16. Reasonableness and Legal Compliance Statement
Nothing in these clauses excludes or limits liability where it would be unlawful to do so under UK law, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.
All exclusions and limitations are intended to be reasonable, proportionate, and compliant with applicable UK consumer and business-to-business contract law.
The client is responsible for verifying correct operation of orders, payments, and contact forms following launch and on an ongoing basis.
These Terms and Conditions constitute the legally binding agreement between you and us.
